Terms of Use

Effective date: September 29, 2026

1. About these Terms

1.1 Who we are. These Terms of Use ("Terms") are an agreement between you and Zxee, LLC, a New Hampshire limited liability company (formerly Zxen LLC) ("Zxee," "we," "us"). They govern your use of the Zxee mobile app, the websites at zxee.app and zxen.app, our pay-link and request-link pages, and related software and services (together, the "Zxee Services").

1.2 Acceptance. By creating an account or using the Zxee Services, you agree to these Terms and to our Privacy Policy (zxee.app/privacy). If you do not agree, do not use the Zxee Services.

1.3 Arbitration notice. Section 12 requires most disputes to be resolved by individual binding arbitration, not in court, and waives class actions and jury trials. You can opt out within 30 days, as described in Section 12.

1.4 What Zxee is. Zxee is software. It lets you create and use a self-custodial digital wallet that holds USDC, a dollar-referenced stablecoin, on the Base blockchain. It also lets you send and receive USDC, share payment links, and connect to services provided by independent third parties.

1.5 What Zxee is not.

  • Zxee is not a bank, and your balance is not a bank deposit.
  • Zxee does not hold, pool, or take possession of your digital assets or your money.
  • Zxee does not hold any key share or key backup for your wallet. Zxee cannot move or reverse the assets in your wallet, and does not freeze them. However, if our wallet infrastructure provider's service is unavailable, you may be temporarily unable to transact through the app until service is restored or you use an exported key.
  • Zxee is not a cryptocurrency exchange and does not buy, sell, or convert digital assets for you. Any purchase, sale, or conversion is performed by an independent third party under its own terms (Section 4).
  • Zxee does not provide investment, legal, or tax advice.

1.6 Eligibility. To use the Zxee Services you must:

  • be at least 18 years old and able to form a binding contract;
  • be a resident of the United States, and not a resident of, or located in, any state, territory, or other location where the Zxee Services or a relevant third-party service are not offered;
  • not be located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and not be named on, or owned or controlled by anyone named on, any U.S. government sanctions or restricted-party list; and
  • use the Zxee Services only for yourself, and not on behalf of any other person or business, unless we have approved a business account for you in writing.

1.7 Other terms that apply. Some features are provided by third parties who have their own terms and privacy policies. When you use those features, their terms also apply, and they govern the service that third party provides (Section 4).

2. Your account and your wallet

2.1 Account. You sign up with a mobile phone number that you verify with a one-time code. You agree to give accurate information and keep it current. You may have only one account. You are responsible for all activity on your account and for keeping your device, PIN, and biometric settings secure. Tell us promptly at support@zxee.app if you believe your account has been compromised.

2.2 Your wallet is self-custodial. When you create an account, a wallet is created for you using third-party wallet infrastructure. The key that controls your wallet is split into separate shares using multi-party computation, so no single party holds the complete key. One share stays on your device. Our wallet infrastructure provider holds another share, and may also hold an encrypted backup of your device share that it cannot decrypt without you. Zxee does not hold any key share or backup, and cannot sign transactions from your wallet. A transaction moves funds only after you approve it on your device.

2.3 Your balance. The balance shown in the app is the amount of USDC recorded on the Base blockchain at your wallet address. Zxee does not keep a separate ledger of your funds. If the app displays information that differs from the blockchain, the blockchain record controls.

2.4 Exporting your key. You can export your wallet's private key from the app settings. Export relies on our wallet infrastructure provider's systems, so it may be briefly unavailable during outages. We recommend exporting and securely storing your key if you hold significant assets. Once exported, anyone who has the key can control your wallet. Store it securely and never share it. Zxee is not responsible for losses caused by an exported key being lost, stolen, or misused.

2.5 Keeping access. Because Zxee cannot access or recover your wallet, you are responsible for keeping the means to access it, including your device, your account credentials, and any exported key. If you lose all of them, you may permanently lose access to your assets.

2.6 Inactive, unfunded wallets. Our wallet infrastructure provider may disable a wallet that holds no assets six months after it was created, and delete its associated data. This does not apply to a wallet that holds assets.

2.7 Identity verification. We or our third-party providers may ask you to verify your identity, and may limit features until you do. Some features, such as buying or selling USDC or linking a bank account, require verification by the third party that provides them. We may set transaction limits for accounts that have not completed verification.

2.8 Deleting your account. You can delete your Zxee account in the app or at zxee.app/delete-account. Deleting your account does not delete your wallet or the assets in it. If your wallet holds assets, you must export your private key before deleting your account, or confirm that you understand those funds will become inaccessible to you. After deletion you will not be able to reach your wallet through Zxee. We keep certain records after deletion where the law requires it, as described in our Privacy Policy.

3. Using Zxee

3.1 Sending USDC. You can send USDC to another Zxee user by @handle or phone number, or to an outside wallet address. Before you confirm, the app shows the recipient, amount, network, and any fees. The transfer is made only when you confirm it with your PIN or biometrics, and your wallet signs it.

3.2 Transfers are final. Blockchain transfers cannot be cancelled, reversed, or refunded once broadcast. Zxee cannot recover funds sent to the wrong person or address, or to a scammer. Check every detail before you confirm, and only send money to people you know and trust.

3.3 Transfer status. The app shows the status of a transfer, such as submitted or confirmed. A transfer is complete only when it is confirmed on the blockchain. Network delays or failures can occur, and a transfer that fails may still incur network fees.

3.4 Outside wallet addresses. When you send to an outside address, you are responsible for making sure it is correct and supports USDC on the selected network. Assets sent to an incompatible address may be permanently lost.

3.5 Pay links. You can share a public pay link so others can pay you. A payer may pay from their own wallet or from another source they control. Payers who are not Zxee users are not our customers, and use the pay-link page subject to these Terms. A payer who buys digital assets through a third-party service to fund a payment must do so into a wallet they own, and then send the payment themselves.

3.6 Paying with other assets. When a payer pays with a digital asset or network other than USDC on Base, an independent third-party conversion service may convert it. The conversion is performed by that service, not by Zxee. Its quote, fees, timing, and any limits are set by that service. Zxee does not hold the funds at any point during the conversion. Before a conversion, the payer must review and accept the conversion service's terms, which will be shown on the pay-link page. We keep a record of that acceptance. The conversion service and Zxee may screen the payer's wallet address and decline the payment.

Conversion risks. Digital assets sent for conversion can be lost, for example if they are sent on the wrong network or a conversion fails. Conversions are not insured or guaranteed by Zxee or anyone else. Onchain transactions are irreversible. The conversion service operates independently of Zxee, and Zxee does not control its pricing, execution, or availability.

3.7 Requests. You can request money from another Zxee user, or share a request link with someone outside Zxee. A request moves no funds. The payer decides whether to pay, and any payment is made only when the payer confirms it.

3.8 Inviting someone who is not on Zxee. You can start a payment to a phone number that is not yet on Zxee. We will send that person an invitation. Until they join, the funds stay in your wallet and remain fully under your control, and you may spend them. The app may show the payment as pending, but no funds are set aside or held. When the person joins, we will ask you to confirm the payment, and it is sent only when you confirm. You may cancel a pending invitation at any time. You must only invite people who would expect to hear from you.

3.9 Custom receive wallet. You may choose to have incoming pay-link payments delivered to an outside wallet instead of your Zxee wallet. You may only choose a wallet that you own and control. Payments delivered there are outside the Zxee app, and we cannot display, move, or recover them. We may require identity verification before you use this feature.

3.10 Unsupported deposits. The Zxee app supports USDC on Base. Other assets sent directly to your wallet address may not be shown or usable in the app, although they remain in your wallet and can be reached with your exported key.

4. Third-party services

4.1 How they work. Some features are provided by independent third parties, not by Zxee ("Third-Party Services"). These include wallet infrastructure, fiat on-ramp and off-ramp services, bank account linking and payment services, cryptocurrency exchanges, conversion services, and partner apps. The providers for each feature are shown in the app before you use that feature.

4.2 Your agreement is with them. When you use a Third-Party Service, you contract directly with that provider under its own terms and privacy policy, which it will show you. That provider, not Zxee, is responsible for the service it provides, including any purchase, sale, conversion, or transfer of funds. Zxee is not a party to those transactions. If these Terms conflict with a provider's terms about that provider's service, the provider's terms govern that service.

4.3 Buying and selling USDC. You can buy USDC with U.S. dollars, or sell USDC for U.S. dollars, through a licensed third-party provider. The provider carries out its own identity checks, accepts or pays out your money, and sets its own prices, fees, limits, and processing times. It may decline or delay any transaction. When you buy, USDC is delivered to your own Zxee wallet. When you sell, you send USDC from your wallet to the address the provider gives you, and the provider pays you. Zxee never receives your U.S. dollars.

4.4 Linking a bank account. You may link a bank account through a third-party account-linking service to fund purchases or receive payouts. By linking an account, you authorize that service to retrieve account information you choose to share, and authorize the relevant licensed provider to debit or credit that account as you instruct. You must be the owner of any bank account you link. Transfers from a linked account are made by the licensed provider, not by Zxee.

4.5 Connecting an exchange account. You may connect an exchange account you already hold, to move USDC between it and your Zxee wallet. You authorize the exchange through its own login and approval process. Zxee never receives your exchange login. The exchange carries out withdrawals from your exchange account under its own terms, and may require extra steps such as two-factor authentication or address approval.

4.6 Partner apps. You may link your Zxee account to a partner app, so you can pay and be paid by that app's users. You choose whether to link, and you can unlink at any time in either app. Each company is responsible for its own services, its own users, and its own legal obligations. A payment you make to a partner app user is sent only when you confirm it in Zxee.

4.7 No endorsement. Zxee does not control Third-Party Services and is not responsible for their availability, accuracy, actions, or failures, except to the extent caused by our own breach of these Terms. Your dealings with a third party are solely between you and that third party.

4.8 Accepting provider terms. Some features are provided by third-party providers. Before you use a provider's feature, we will show you its terms and privacy policy, and you must accept them. We keep a record of that acceptance. Third-party providers may delay, limit or decline transactions under their own terms.

5. Fees, referral credits, and taxes

5.1 Zxee fees. Zxee may charge a platform fee on certain activity, such as sending USDC, sending to an outside wallet, or adding or withdrawing funds. Any Zxee fee is shown before you confirm a transaction, separately from the amount you are sending. It is paid from your wallet as part of the transaction you approve. For each fee we show the amount and how it is calculated (for example, a percentage of the amount sent, with any minimum), and you agree to it when you confirm.

5.2 Third-party fees. Third-Party Services charge their own fees, such as processing fees, spreads, and conversion fees. They show those fees in their own quote or checkout. Those fees are not Zxee fees. Some third-party providers let us add a fee to their checkout. When we do, that fee is a Zxee fee: we will label it as Zxee's fee and show it before you confirm, and the provider collects it for us.

5.3 Network fees. Blockchain transactions can require network (gas) fees. Zxee may cover network fees on some transactions. Where we do not, any network fee is shown before you confirm.

5.4 Fee changes. We may change our fees. We will show updated fees in the app before they apply to you. A fee change does not apply to a transaction you already confirmed.

5.5 Referral credits. We may offer fee credits when someone you invite joins Zxee. Referral credits are non-transferable discounts on Zxee fees only. They are not currency or cryptocurrency, are never paid out in USDC, and have no cash value. They cannot be transferred, sold, or redeemed for cash, and cannot be applied to the amount you send. We may change or end the referral program, and may cancel credits obtained through fraud or abuse. Additional program rules are at zxee.app/referrals.

5.6 Taxes. You are responsible for determining and paying any taxes that apply to your transactions, and for any required reporting. We may report information to tax authorities where the law requires.

6. Important risks

By using the Zxee Services you acknowledge these risks:

  • USDC is not legal tender or a bank deposit. USDC is issued by a third party, not by Zxee or any government. It is not insured by the FDIC or SIPC. Its value is intended to track the U.S. dollar but could lose that link, and its issuer could restrict, freeze, or change it.
  • Transactions are irreversible. No one, including Zxee, can reverse a confirmed blockchain transfer.
  • Technology risks. Blockchains, smart contracts, and wallet software can fail, be delayed, or be attacked. Network fees and confirmation times vary.
  • Scams and fraud. Scammers may pressure you to send money. Legitimate people do not ask you to pay to receive a prize, fix an account, or prove your identity. Zxee will never ask for your private key.
  • Third-party risk. A Third-Party Service may be unavailable, may decline a transaction, or may change its terms or fees.
  • Regulatory change. Laws affecting digital assets may change and may limit or end some features.

7. Prohibited uses

You must not use the Zxee Services to:

  • break any law, including sanctions, anti-money-laundering, anti-terrorist-financing, consumer protection, or tax laws;
  • send, receive, or facilitate funds from or to any sanctioned person, country, or region, or evade sanctions;
  • conduct or fund fraud, scams, theft, extortion, or ransomware;
  • use a mixer, tumbler, or other service designed to hide the source or destination of funds;
  • transact on behalf of any other person (unless we have approved a business account for you in writing), or provide money transmission, exchange, or payment services to others;
  • use a Third-Party Service to buy or send digital assets to a wallet you do not own and control;
  • operate as a merchant, payment processor, or aggregator collecting payments for others without our written approval;
  • engage in unlawful gambling, pyramid or Ponzi schemes, or sales of illegal goods or services;
  • infringe anyone's intellectual property or privacy, or harass, threaten, or impersonate anyone;
  • invite or contact people who have not agreed to hear from you, or send spam;
  • give false information, open more than one account, or use another person's identity or payment method;
  • interfere with, reverse engineer, scrape, or overload the Zxee Services, or bypass any security or limit; or
  • use the Zxee Services from a location where they are not offered, including by using a VPN to hide your location.

8. Compliance, limits, and suspension

8.1 Screening and limits. We screen wallet addresses and transactions against sanctions lists and other risk indicators before submitting conversions and other third-party transactions, and may decline any transaction that does not clear screening. We may set limits on amounts, frequency, or features, including for accounts that have not verified their identity.

8.2 When we may decline or suspend. We may decline to prepare or submit a transaction, refuse to provide a feature, or suspend or close your access to the Zxee Services if we reasonably believe:

  • you have broken these Terms or the law;
  • the activity involves a sanctioned person or location, fraud, or other prohibited use;
  • it is needed to protect you, other users, or Zxee; or
  • a law, court order, government authority, or Third-Party Service requires it.

Where the law allows, we will tell you when we take one of these actions.

8.3 What suspension does not do. Because Zxee holds no key to your wallet, suspension or closure limits your use of the Zxee app. It does not freeze or take the assets in your wallet. You can still reach your wallet with a key you have already exported, or by exporting your key while that feature is available, unless the law requires otherwise. If our wallet infrastructure provider's service is unavailable, you may be temporarily unable to transact through the app until service is restored or you use an exported key. Third-Party Services may take their own actions under their own terms.

8.4 Records. We keep records of our activity with you as the law requires, and may share information with law enforcement or regulators when legally required, as described in our Privacy Policy.

9. License, content, and communications

9.1 License. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Zxee Services for their intended purpose under these Terms. Zxee and its licensors own the Zxee Services, including the software, brand, and content.

9.2 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.

9.3 Electronic communications. You agree that we may provide agreements, notices, disclosures, and receipts electronically, in the app, by email, or by text message. You can withdraw this consent by closing your account. Electronic communications satisfy any legal requirement that they be in writing.

9.4 Text messages. By giving us your phone number, you agree to receive text messages from us about your account, security, and transactions. Message and data rates may apply. You can opt out of non-essential messages by replying STOP. We send invitation messages to a phone number only when you choose to pay or invite that person, and you confirm you have a relationship with them.

10. Disclaimers

THE ZXEE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, ZXEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ZXEE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION SHOWN, INCLUDING PRICES OR BALANCES, IS ACCURATE OR CURRENT. WE MAKE NO WARRANTY ABOUT ANY THIRD-PARTY SERVICE, BLOCKCHAIN, OR DIGITAL ASSET. Some states do not allow these exclusions, so some may not apply to you.

11. Limitation of liability and indemnity

11.1 Excluded damages. TO THE FULLEST EXTENT THE LAW ALLOWS, ZXEE AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM THESE TERMS OR THE ZXEE SERVICES.

11.2 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, ZXEE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE ZXEE SERVICES IS LIMITED TO THE GREATER OF $100 OR THE ZXEE FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11.3 Exceptions. These limits do not apply to liability that cannot be limited by law, including liability for our fraud, gross negligence, or willful misconduct.

11.4 Indemnity. You will defend and indemnify Zxee against third-party claims, losses, and reasonable legal fees arising from your breach of these Terms, your violation of law, or your misuse of the Zxee Services, except to the extent caused by Zxee.

12. Disputes and arbitration

12.1 Informal resolution first. Before starting arbitration or a lawsuit, you and we agree to try to resolve any dispute informally. Send a written description of the dispute and the relief you want to support@zxee.app. We will send ours to the email on your account. If we cannot resolve it within 60 days, either of us may proceed.

12.2 Agreement to arbitrate. Except as stated below, any dispute arising from these Terms or the Zxee Services will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. The arbitrator decides all issues, including whether a dispute must be arbitrated. The arbitration may be held by video, by phone, or in the county where you live.

12.3 Exceptions. Either of us may bring an individual claim in small claims court. Either of us may seek a court order to stop infringement or misuse of intellectual property.

12.4 Class action and jury waiver. YOU AND ZXEE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND ZXEE WAIVE ANY RIGHT TO A JURY TRIAL.

12.5 Mass filings. If 25 or more similar arbitration demands are filed against Zxee by or with the help of the same law firm or group, the AAA's mass arbitration procedures will apply, and the demands may be administered in batches.

12.6 Opting out. You may opt out of this Section 12 by emailing support@zxee.app within 30 days after you first accept these Terms. Include your name, phone number, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

12.7 Courts. Any dispute not subject to arbitration will be resolved only in the state or federal courts located in Rockingham County, New Hampshire, and you and Zxee consent to their jurisdiction.

12.8 Governing law. These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-law rules, and by applicable federal law.

13. General terms

13.1 Changes to these Terms. We may update these Terms. We will post the updated Terms with a new effective date and, for material changes, notify you in the app or by email before they take effect. If you continue to use the Zxee Services after changes take effect, you accept them. Changes do not apply to disputes already filed.

13.2 Changes to the Zxee Services. We may add, change, or remove features. We may stop offering the Zxee Services with reasonable notice. If we stop offering the Zxee Services, we will give you at least 60 days' notice and keep key export available during that period so you can move your assets or export your key.

13.3 Assignment. You may not transfer your account or these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.4 Entire agreement and severability. These Terms, together with the Privacy Policy and any terms referenced here, are the entire agreement between you and Zxee about the Zxee Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.

13.5 Survival. Sections 2.4, 2.5, 3.2, 5.6, 6, and 9 through 13 survive the end of these Terms.

13.6 App store terms. If you downloaded the app from Apple's App Store or Google Play, these Terms are between you and Zxee, not Apple or Google. Apple and Google are not responsible for the app, its content, maintenance, support, or any warranty, and are not responsible for any claims about it, including product-liability, legal-compliance, or intellectual-property claims. If the app fails to meet an applicable warranty, you may notify the store operator, which may refund any purchase price, and it has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You must also follow the store's own terms of use. For the iOS app, your license is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Zxee, not Apple, is solely responsible for investigating, defending, settling and discharging any third-party claim that the app infringes intellectual property rights.
